Business Description: The franchisor is EK Franchising Company. Engineering for Kids Businesses provide educational activities, namely, providing seminars, classes, camps, workshops, conferences, and programs in the fields of math, science, technology, and engineering using specified business formats, methods, procedures, designs, layouts, standards, and specifications, items and products that the franchisor may designate or approve from time to time.

Franchise Offer: The franchise will offer educational activities, namely, providing seminars, classes, camps, workshops, conferences, and programs in the fields of math, science, technology, and engineering, using the franchisor’s business system and the “Engineering for Kids” trademarks.

Financial Assistance: The franchisor does not offer direct or indirect financing. The franchisor does not guarantee franchisees’ note, lease, or obligation.

Training and Assistance: Franchisees (or the Operating Principal, if they are a corporation or other entity) and any other Designated Employee must attend and successfully complete, to the franchisor’s satisfaction, the initial training program that the franchisor offers on operating an Engineering for Kids business. The training is conducted at the franchisor’s training facility in Stafford, Virginia with a small portion at a host site of an operating Engineering for Kids program. Franchisees (or their managing owner), and/or other previously trained and experienced employees must also attend and satisfactorily complete various training courses that the franchisor periodically provides at the times and locations it designates. The franchisor will not require attendance for more than a total of 5 days during a calendar year. Additionally, in the future, the franchisor may hold annual conferences for its System franchisees at such place as it designates. If so, the franchisor may require that franchisees (or their Operating Principal) attend these conferences and it may charge reasonable registration fees for the conferences.

Territory: Under the Franchise Agreement, the franchisor will grant franchisees the right and license to operate the Franchised Business within a territory. The territories will vary in size and dimension based on local factors, but a “standard” territory will generally be determined as a geographic area containing approximately 100 schools with grades including some or all kindergarten through eight. The franchisor may grant franchises for geographic areas that it considers to be a “half-territory,” which will contain approximately 50 schools with grades including some or all kindergarten through eight. Franchisees may not directly solicit participants located, and/or conduct Programs, in the territory of another Engineering for Kids business.

Term of Agreement and Renewal: The length of the initial franchise term is 7 years. Two additional 7-year terms, subject to certain contractual requirements, are available.

Obligations and Restrictions: If franchisees are a corporation, partnership or LLC, they must appoint an individual owner as the Operating Principal. The Operating Principal must provide his or her full-time attention to the day-to-day supervision and operation of the franchised business, complete the training program, must have authority over all business decisions related to the franchised business, and must have the power to bind the franchisee in all business dealings with the franchisor. The Operating Principal must be equity holder in the company. Franchisees may offer customers only the services and products that the franchisor has expressly authorized to be offered by Engineering for Kids businesses, as periodically specified in the manual.
