Business Description: InShapeMD Franchising, LLC offers franchises for the operation of an InShapeMD Weight Loss Clinic that, using the franchisor’s marks and Systems, offers proprietary, designated or approved weight loss, nutritional and weight management products and services in connection with a licensed physician-supervised weight loss program.

 

Franchise Offer:Franchises are offered for the operation of a business providing medically supervised weight loss using InShapeMD’s systems. The Store Front Plan consists of a larger full service Store Front location with a Protected Territory, and the Office Plan with no Territory which are typically operated in conjunction with an established licensed physician in an inclusive or separate full service location. Both Plans are operated under the InShapeMD trademarks, trade names, service marks, and logos.

 

Financial Assistance: InShapeMD does not offer direct or indirect financing. InShapeMD does not guarantee your note, lease, or obligation.

 

Training and Assistance: The franchisee or the designated Manager must attend training. Training materials will include the franchisor’s confidential Operations Manual, handouts, quizzes and hands on training with cell phone equipment. During the operation of the franchised business, InShapeMD will offer the franchisee a reasonable amount of continuing advisory services by telephone during normal business hours. InShapeMD may also provide visits by a field representative. InShapeMD may hold periodic regional or national conferences to discuss on-going changes in the industry, operational techniques, sales and marketing developments, personnel training, bookkeeping, accounting, advertising programs and new service procedures. The franchisee is required to attend these conferences.

 

Territory: Office Plan franchisees will not receive an exclusive territory. The franchisee may face competition from other franchisees, from outlets that owned by the franchisor, or from other channels of distribution or competitive brands that controlled by the franchisor. The Franchise will be located within a Doctor’s Office or Health Club or other approved location with a minimum availability of 500 square feet. Storefront franchisees will receive an exclusive territory with a minimum population of 20,000 people as determined by the latest U.S. Census or other third party marketing data, and may also be defined by boundary streets, rivers, coasts, highways, cities, counties, or zip codes or other means.

 

Term of Agreement and Renewal: The length of the franchise term is 10 years. If the franchisee is in good standing he/she can renew for additional terms of 10 years.

 

Obligations and Restrictions: The franchisee or a fully trained and qualified manager (“Manager”), both of whom have completed our training program, must directly supervise and participate in the actual day-to-day operation of the Franchise on a full-time basis. Neither the franchisee nor the Manager may have an interest or business relationship with any of InShapeMD’s business competitors. Such business would be a business providing Medical Weight loss, Anti- Aging or Hormone Therapy. The franchisee must offer and sell only products and services which are part of the InShapeMD system, and all services and products that are incorporated into the InShapeMD system in the future assuming that it is legal in the franchisee’s state.
