Training Overview: If this is the franchisee’s first Bricks 4 Kidz business, then before the business commences operations, the franchisor will train franchisees (or their managing owner) and their designated manager on operating a Bricks 4 Kidz business. The franchisor will provide approximately three days of training (either onsite or online although the specific number of days depends on the franchisor’s opinion of the franchisee’s experience and needs). Additional people beyond the attendees the franchisor requires may attend initial training, subject to the franchisor’s ability and capacity to accommodate these extra persons in any training session, if franchisees pay the then current training charge for each additional person. In addition, the franchisor may from time-to-time conduct conferences, conventions or training session programs. Franchisees or their qualified operator/manager(s) and other personnel reasonably designated must attend each such annual conference, training session at their sole expense (travel, lodging, food and other living expenses). The franchisor requires that franchisees attend its biennial conference.

Territory Granted: Franchisees will operate the business within a specific territory that the franchisor first must approve. Franchisees will not receive an exclusive territory. Franchisees may face competition from other Bricks 4 Kidz business franchise owners, from outlets that the franchisor owns, or from other channels of distribution or competitive brands that the franchisor controls. The franchisor will determine the size and boundaries of the territory in its sole judgment, based upon factors including population density, character of neighborhood, location, number of competing businesses, number of schools, average age of the population, commute time, and other factors. The franchisor typically will designate a territory using one or more contiguous zip codes, and which will include an agreed upon number of public and/or private schools (including preschools, elementary and middle schools). With limited exceptions, as long as franchisees are in full compliance with the Franchise Agreement, the franchisor and its affiliates will not operate or grant a franchise for the operation of a Bricks 4 Kidz business at a location in the territory during the term of the Franchise Agreement.

Obligations and Restrictions: If franchisees are a legal entity, they must appoint a shareholder, member, or partner (as applicable) to be the “managing owner,” responsible for overseeing and supervising the business’ operation. Franchisees must maintain a competent, conscientious, trained staff, including a fully-trained, full-time manager, which may be franchisees (or, if they are an entity, their managing owner) or the manager-level employee they appoint, who must act as the general manager of the business with responsibility for direct supervision of the business. Franchisees must at all times faithfully, honestly, and diligently perform their contractual obligations and use best efforts to promote and enhance the business. Franchisees must offer and sell all goods and perform all services that the franchisor periodically requires for Bricks 4 Kidz businesses. Franchisees may not offer or sell any products or perform any services that the franchisor has not authorized.

Term of Agreement and Renewal: The length of the initial franchise term is 10 years with a seven-year right to terminate from the effective date of the Franchise Agreement without any penalty. If franchisees are in full compliance, they may acquire a successor franchise term of 10 years with a seven-year right to terminate from the effective date of the Franchise Agreement without any penalty.

Financial Assistance: The franchisor does not offer direct or indirect financing. The franchisor does not guarantee any note, lease, or obligation on a franchisee’s behalf. The franchisor offers a 10% discount off the initial franchise fee and the development fee for active-duty United States military and United States veterans that were honorably discharged.
