Training Overview: The franchisor’s current initial training program consists of 3-5 days of management and technical training. The franchisor will train up to three people at no additional charge, including franchisees (or their managing shareholder, member, or partner), their operations manager, and/or a technician, who must attend and successfully complete to the franchisor’s satisfaction the initial training program (a technician who is not also serving as operations manager need only complete the technical portion of the training). All training will take place at the franchisor’s training facility in North Attleboro, Massachusetts, at its Springville, Utah location, or at a separate location determined by the franchisor. The franchisor also reserves the right to conduct training via an on-line live web service. On the job training will take place at an existing Mosquito Shield business near the franchisor’s training facilities in North Attleboro, Massachusetts or Springville, Utah. Franchisees or their manager must attend the regularly scheduled “huddles,” meetings, and conferences which are identified and scheduled by the franchisor as set forth in its operations manual.

Territory Granted: Franchisees will be granted a specific area of primary responsibility, or APR, in which to operate their franchise. If franchisees purchase multiple territories, they will have multiple APRs. The APR will be defined as a specific area based on the number of potential customers that meet the franchisor’s specific customer profile and will be specified in the Franchise Agreement. The franchisor anticipates that a typical APR will consist of an area that will have between approximately 50,000 single-family homes located within it, as determined by the franchisor based on the most recent U.S. census data. Franchisees may purchase a larger territory in their sole discretion. The APR is an exclusive territory, and, subject to the franchisee’s attainment of minimum sales requirements, the franchisor will not establish or operate, or license another person to establish or operate, another Mosquito Shield business under the system and the proprietary marks within the APR. Franchisees may not service or solicit business outside of the APR without prior written consent.

Obligations and Restrictions: During operating hours, the Mosquito Shield business must be under the direct supervision of one of the principals or the operations manager who has satisfactorily completed the initial training program, which the franchisor reserves the right to approve in its sole discretion. All technicians who apply control materials must be licensed to do so and have completed the initial training program. Franchisees must maintain in sufficient supply, and use at all times, only those types of control materials and brands and/or models of other products, equipment (including control materials application equipment and one or more vehicle(s) for use in the franchised business, bearing the signage the franchisor requires, tools, and computer hardware and software), materials and supplies that conform to the franchisor’s written standards and specifications, and to refrain from using nonconforming items, without the franchisor’s prior written consent.

Term of Agreement and Renewal: The length of the initial franchise term is 10 years. If requirements are met, franchisees have the right to renew the Franchise Agreement for the length of our then-current initial term, provided that the renewal term will be no less than five years.

Financial Assistance: Neither the franchisor nor any agent or affiliate offers direct or indirect financing to franchisees, guarantees any note, lease or obligation of theirs, or has any practice or intent to sell, assign or discount to a third party all or any part of any financing arrangement of franchisees. From time to time, the franchisor may offer special incentive programs as part of its franchise development activities.
