CBW franchises the right to operate “Camp Bow Wow” businesses offering specialized pet care services through fixed store locations and mobile units, the retail sale of pet food and merchandise, and related services and products. CBW franchises must offer the following services: dog boarding, dog day care, and certain dog grooming services at a specially designed pet care facility. Training Overview: Franchisees are responsible for making sure that their personnel are properly trained to the franchisor’s standards and requirements. The seven-day classroom/in-camp training program is typically held in the franchisor’s Westminster, Colorado office and corporate camp (or at another location designated by the franchisor). However, the franchisor reserves the right to alter this program and/or the locations of such training at any time. Unless the franchisor agrees otherwise in writing, franchisees (or the majority owner, if the franchisee is an entity) and their manager must complete the Initial Camp Services Training Program to the franchisor’s satisfaction, in its sole discretion, prior to beginning operations. If franchisees elect to provide dog training services, they must hire a dog trainer with one of the franchisor-approved certifications. Franchisee selected trainers must also complete the Dog Trainer Certificate Program to the franchisor’s satisfaction before they will be approved to begin dog training. In addition to the training programs outlined above, the franchisor offers an extensive suite of brand-specific online training modules through its learning management system. Franchisees must also comply with any future required training, at their expense.

Territory Granted: Upon execution of the Franchise Agreement, the franchisor will designate a geographic area throughout which franchisees must offer the camp services. The franchisor defines each authorized territory according to demographic data, including population density and average income, and other characteristics of the surrounding area, natural boundaries, and the amount and size of urban, suburban and rural areas within the authorized territory. The franchisor does not represent that each franchisee’s authorized territory will be the same minimum size or population. Except as provided in the Franchise Agreement, during the term of the Franchise Agreement, the franchisor will not locate, or license to another franchisee the right to locate, a CBW franchise within the authorized territory.

Obligations and Restrictions: Franchisees are not obligated to participate personally in the direct operation of the CBW franchise, however, they are at all times responsible for the operations of the CBW franchise. A manager may manage the day-to-day operations of the CBW franchise. The manager is not required to own an equity interest in the franchisee entity; however, the manager must complete the initial camp services training, all ongoing training programs, and any other applicable training to the franchisor’s satisfaction. Franchisees must keep their CBW franchise open and in normal operation for the minimum hours and days the franchisor may specify in the operations manuals. Franchisees must refrain from using or permitting the use of the CBW franchise for any other purpose or activity at any time, including the offering of collateral services, without first obtaining the franchisor’s written consent.

Term of Agreement and Renewal: The length of the initial franchise term is 10 years. Franchisees may renew for two additional 10-year terms if certain renewal conditions are satisfied.

Financial Assistance: Neither the franchisor, nor any agent or affiliate of the franchisor, offers direct or indirect financing. The franchisor does not guarantee a franchisee’s note, leases or other obligations. The franchisor offers a reduced initial franchise fee of $25,000, a 50% discount, to veterans of the U.S. Armed Forces who meet the requirements of the VetFran Program or are qualified first responders.
