Training Overview: We will provide franchisees and their initial management with its initial training program. Training hours are provided in the franchisor’s training facility in West Palm Beach, Florida, or on-site at a local Venture X. The franchisor will typically designate a period of up to 14 days prior to or around the “soft opening” of the franchised business to send one or more of its training personnel to the premises to provide initial on-site training. In addition to the corporate training as outlined the franchisor will connect franchisees with a franchise location for “On the Job” training (OJT). During this time, franchisees will visit an Intelligent Office location and train side by side with the local team. The franchisor may schedule and hold an annual conference, as it deems advisable in its sole discretion, to discuss the current state of the system, improvements to the system, hold discussion forums for system franchisees and recognize certain franchisees.

Territory Granted: Franchisees will operate the facility at a specific location approved by the franchisor (referred to as the “premises”). Once franchisees have secured their premises, the franchisor will provide them with a designated territory within which they will have certain protected rights. The designated territory, if granted, will typically be comprised of a radius around the facility that the franchisor determines appropriate based on a number of factors. There is no minimum radius or population associated with the designated territories awarded. If and when franchisees are granted a designated territory, then the franchisor will not open or locate, or license any third party the right to open or locate another Venture X facility utilizing the proprietary marks and system from a physical location within that designated territory, until such time that the Franchise Agreement expires or is terminated. Franchisees will not receive an exclusive territory. Franchisees may face competition from other franchisees, from outlets that the franchisor owns, or from other channels of distribution or competitive brands that the franchisor controls.

Obligations and Restrictions: While the franchisor recommends that franchisees personally participate and manage the day-to-day operations of their franchised facility directly, they may hire a designated manager to manage daily operations with the franchisor’s approval. Both the franchisee and any designated manager appointed will be required to complete the initial training program to the franchisor’s satisfaction. Franchisees must (1) sell or offer for sale only those products, merchandise, and services as the franchisor has expressly approved for sale in writing, (2) sell or offer for sale all types of products, merchandise, and services the franchisor specifies, (3) refrain from any deviation from the franchisor’s standards and specifications without prior written consent, and (4) discontinue selling and offering for sale any products, merchandise, and services which the franchisor may, in its discretion, disapprove in writing at any time.

Term of Agreement and Renewal: The length of the initial franchise term is 35 years. A renewal term of 35 years is available if requirements are met.

Financial Assistance: The franchisor does not offer direct or indirect financing. The franchisor does not guarantee a franchisee’s note, lease or any other obligation. Eligible United States military veterans (and/or military spouses) will receive a discount of 10% of the franchise fee or 5% of the then current transfer fee.
