Training Overview: Franchisees, or their operating principal (if they are an entity), must successfully complete the initial training program to the franchisor’s reasonable satisfaction, before opening the franchised business. The initial training program is a self-paced program conducted via the telephone and the MaidPro intranet, and in-house corporate training held at the franchisor’s headquarters in Boston, Massachusetts, or another location designated by the franchisor, or by remote/virtual means. The franchisor expects the initial training to take franchisees 8-12 weeks to complete, but this could vary depending on how much time they can devote to training and how quickly they are able to absorb the materials. The franchisor, at its option, will conduct conferences or training sessions for ongoing training. Franchisees may be required to attend the conferences or training sessions/programs. The franchisor may, at its option conduct a convention that franchisees must attend.

Territory Granted: Franchisees will be awarded and may serve customers within a territory, which shall be delineated by zip codes; hard boundaries, such as streets, highways, rivers or other identifiable physical boundaries; or census tract. A territory is a defined geographical area containing a certain number of “qualified households” at the time of the grant of the franchise. A qualified household is a household with gross annual income over $100,000. 45,000 qualified households is the approximate number within any territory. Franchisees must operate from only one location the franchisor approves within their territory. The franchisor will not establish or license another to establish any other MaidPro franchised businesses within the territory while the Franchise Agreement is in effect and the franchisee is not in default.

Obligations and Restrictions: Franchisees, or their operating principal, must directly supervise the MaidPro franchised business at all times. Franchisees must maintain business times and hours as the franchisor may specify in the operations manual. Franchisees or their operating principal must successfully complete the training program and, after completion of the training, must devote full time, energy and best efforts to the operation of the franchised business. Franchisees must offer and provide all the services required by the franchisor. Franchisees may not offer or provide any products and services not authorized by the franchisor. Franchisees are specifically limited to providing approved products and services to customers who are located in the territory, unless the franchisor otherwise agrees. If franchisees are servicing a customer outside of their territory and a franchise is granted to another with a territory that includes this customer, the franchisee must cease servicing the customer and inform the other franchisee whose new territory includes this customer of the service and needs of this customer to allow the new franchisee to properly and timely service this customer.

Term of Agreement and Renewal: The length of the initial franchise term is five years. If franchisees meet the renewal conditions they may enter into a renewal term of five years.

Financial Assistance: The franchisor may offer financing of up to the full amount of the initial franchise fee to prospects who meet the qualifications, including creditworthiness. Except as disclosed, the franchisor offers no financing arrangements to MaidPro franchisees, and the franchisor does not receive payment or other consideration for the placing of financing. The franchisor does not guaranty any note, lease or obligation franchisees enter into for their franchised business.
