Description: The franchisor is offering franchises for businesses, which operate retail food and/or beverage service carts, kiosks and in-line outlets.
Franchise Offer: The franchisor offers five distinct classes of franchise opportunities:
Class A - Hot dog cart franchise. This franchise includes a custom and highly mobile cart, featuring hot dogs, but without a beverage dispensing system.
Class B - Hot dog cart/beverage cart franchise. This cart franchise includes a cart somewhat similar to the class A cart, but this cart is larger overall, it contains a larger deck top, and it includes a post-mix beverage dispensing system.
Class C - Coffee cart franchise. This franchise includes a mobile coffee cart with a complete complement of espresso and brewing equipment, with the possible addition of a slush machine and cold coffee specialty drinks.
ClassD - "In-line" store and multiple cart franchises. "In-line" store franchises which are a variety of in-line counter units and prototype stores with each unit being unique and specific to its location. These franchises do not utilize a cart, they are operated from a fixed location, like a free-standing building, shopping center unit, or mall food court. -Multiple cart franchises: a variety of double cart offerings are available for a franchisee that may desire more than one cart for the same location.
ClassE - Special events franchise. Instead of having a single location, the franchisee can choose to operate any of the mobile carts on a temporary basis at special events.
The franchisor also grants to qualified persons, under a development agreement, the right to develop multiple businesses in a designated geographic area.
Financial Assistance: The franchisor does not offer any direct or indirect financing.
Training and Assistance: The training program will last approximately for 5 to 7 days and the franchisee, or if it is a business entity, an individual that is the owner of at least 50% of the franchise and the business manager if a different person. This initial training program typically will begin within two weeks prior to the opening of the Woody's business, but may begin sooner, depending on training course scheduling. It may occur at the franchisor's office in the Denver, Colorado metropolitan area or at another location.
Additional training at the franchisee's location of 1 to 2 days is provided when the business has been open for approximately 30 days.
Territory: The franchisor will not grant the franchisee an exclusive area in which to operate the Woody's business.
Term of Agreement and Renewal: The term of the franchise agreement is 5 years, or 10 years if the franchisee purchases a Class D in-line store franchise. The 5-year agreement can be renewed for another 5 years and the 10-year agreement (class D in-line store) can be renewed for another 10 years, if certain conditions are met.
Obligations and Restrictions: At least one of the owners of the franchise must contractually agree to personally participate in the direct operation of the business to the exclusion of all other business involvements, and retain a minimum of 50% equity ownership in the business, including profits. The franchisee may only offer for sale and sell those products that have been specified by the franchisor. The franchisee may not offer for sale any products that have not been approved. The franchisee is not permitted to sell products over the internet or by telephone, except with the franchisor's prior written approval; the franchisee is not permitted to sell products via catalog, at wholesale, in grocery stores, through large-scale delivery, or through other channels of distribution.
